TENWAYS Bike Lease Policy

This Bike Lease Policy (the “Policy”) sets out the terms under which bicycles supplied by TENWAYS are made available to employees of participating employers under the Tenways Bike Leasing Scheme. 

This Policy includes and incorporates all appendices attached hereto, including:

Appendix 1 Damage & Theft Conditions

Appendix 2 Buy-Out Terms

Appendix 3 Standard Warranty Policy

Appendix 4 Employee Privacy Notice

all of which form an integral part of this Policy.

Unless expressly stated otherwise, this Policy governs the use and related obligations in connection with leased bicycles. It does not form part of the Framework Agreement. By replying “I accept” to the Email which is sent by Tenways, I confirm that I have read and understood the Policy and agree to be directly bound by its terms. I agree to comply with all terms and conditions set out in the Policy, including but not limited to obligations relating to use, care, maintenance, reporting of damage or theft, and return of the bicycle.


I understand and agree that:

· I am personally responsible for complying with the Policy;

· any failure to comply with the Policy may result in liability for any resulting costs, damages or losses, to the extent permitted by applicable law;

· where expressly agreed by Tenways, I may make such payments directly to Tenways as an administrative payment arrangement only;;

· where applicable, such costs may also be recovered by my Employer through salary deductions where permitted in accordance with applicable law and my employment agreement.


I further acknowledge that:

· the bicycle remains subject to a lease agreement between my Employer and Tenways;

· I do not have any ownership rights in the bicycle unless otherwise agreed.

· This acknowledgement remains valid for the entire duration of my participation in the bike lease scheme.

For the purposes of this Policy, the following definitions apply:

· Bicycle: any bicycle supplied by Tenways under a Lease Contract.

· Employee: a natural person employed by the Employer and designated as the user of a leased Bicycle.

· Employer: the entity employing the Employee and participating in the Bike Leasing Scheme.

· Bike Leasing Scheme: the employer-sponsored bike lease scheme under which bicycles are leased by the Employer from Tenways and made available to Employees for their use, and governed by this Framework Agreement and any applicable Policy.

· Lease Contract: the lease order between Tenways and the Employer for a specific Bicycle allocated to an Employee.

Capitalised terms not defined in this Policy shall have the meaning given to them in the applicable Framework Agreement between Tenways and the Employer.

 

A. Eligibility – Who Can Participate

Eligibility to participate in the Tenways Bike Leasing Scheme is determined solely by the Employer.

Each Employer may set its own internal eligibility criteria, including but not limited to:

· employment status (permanent / fixed-term);

· minimum working hours;

· probationary status; and

· internal HR or payroll requirements.

TENWAYS does not independently assess employee eligibility and relies on the Employer’s confirmation when accepting an order.

 

B. Available Bike Models and Accessories

1. Bike Models

At the time of launch, the following TENWAYS models are eligible for leasing under this scheme:

  •  CGO600 Pro
  •  CGO800S
  •  CGO009
  •  CGO COMPACT
  •  AGO X
  •  AGO T
  •  AGO AIR
  •  CARGO ONE
  •  LONGTAIL DUO

The available models may be updated from time to time at TENWAYS’ discretion, and the Customers can refer Tenways official website for more details regarding the models. 

2. Accessories

A ART2-certified bicycle chain lock may be leased together with a bike at an additional cost or purchased separately through the main TENWAYS website. Unlike the bicycle itself, the leased lock is not tax-deductible.

The use of an adequate lock is a prerequisite for any replacement bicycle claim. As set out in Appendix 1, Section 2.1, the Employee must use at least one ART2-certified (or higher) chain or foldable lock — whether leased from TENWAYS or self-provided — to secure the bicycle to a fixed object when leaving it unattended. A ring lock alone does not satisfy this requirement. Failure to comply may result in a theft claim being rejected and the replacement bicycle being refused (see Appendix 1, Sections 2.3 and 5).

Other accessories (including but not limited to, helmets, bags or baskets) are not included in the lease by default and must be purchased separately.

TENWAYS may, at its discretion, offer promotional discounts or coupons for accessories via its website. Any such offer is optional and subject to separate terms.

 

C. Lease Cost and Salary Deduction

1. Lease Pricing

The applicable monthly lease price depends on:

· the selected bike model; and

· the agreed lease duration (12 or 24 months).

Unless otherwise agreed, the monthly gross lease price is payable by the Employer to TENWAYS.

2. Salary Sacrifice / Gross Salary Deduction

Where permitted under applicable law and payroll arrangements, the Employer may recover the lease cost from the employee through deductions from the employee’s gross salary, which may reduce taxable income. Furthermore, if the bike is also to be used for private purposes, the Employer may add a small charge (bijtelling), increasing the employee taxable income.

TENWAYS does not provide tax advice and does not guarantee the level of tax benefit available to any employee.

TENWAYS does not currently provide a net-cost calculator for employees; any illustration of tax benefits, bijtelling or payroll impact is indicative only and subject to Employer and local tax rules.

 

D. How to Lease a Bike Through the Employer

The standard process is as follows:

1. The Employer informs employees about the availability of the TENWAYS bike leasing scheme.

2. The employee notifies the Employer of their interest.

3. The employee agrees on:

· bike model and color;

· lease duration (12 or 24 months);

· delivery address.

4. The Employee/Employer submits the order to TENWAYS by email, through its subscription platform, or other agreed ordering channel.

5. The Employer receives the order quote by email and:

· confirms billing details;

· confirms shipping details; and

· settles the first invoice/payment.

6. The lease period begins four (4) days after the lease order for the bike has been confirmed and processed, provided that the bike has been delivered to the agreed address. If the bike has not been received four days after confirmation, Tenways must be informed in a timely manner, or the lease will be effective automatically.

7. Delivery and Cooperation

The Employee shall:

· provide accurate delivery information as required by the Employer;

· be available to receive the bicycle at the agreed delivery time and location;

· cooperate in case of failed delivery attempts, including rescheduling where necessary; and

· follow Tenways instructions regarding use, maintenance and repair of the bicycle.

 

E. Use of the Leased Bike

1.The Employee must use the leased bicycle (and leased lock if applicable) with due care and in accordance with its intended purpose.

2.The Employee may add accessories, provided these do not damage the bicycle and that the bicycle is returned in its original state at the end of the leasing period (unless bought out)

3. Unless otherwise specified by the Employer’s internal policies (where applicable), the leased bicycle may be used for both commuting and private purposes. However, the Employee may not:

· use the bike for commercial purposes, such as courier or delivery work

· loan, rent or sublease the bicycle to any third party

· use or otherwise relocate the bicycle outside the permitted Geographical Area (refer to Warranty Coverage Article 1.3)

In addition to point 3 above, the Employee must:

· comply with applicable traffic laws and regulations;

· promptly report any defects, malfunctions or damage;

· follow TENWAYSuser manuals and safety instructions.

 

F. Other Costs Payable by the Employee

Unless otherwise agreed between Employer and employee, the following costs are borne by the employee:

· accessories not included in the lease;

· costs resulting from misuse, negligence or unlawful modification;

· traffic fines and penalties;

· damage not covered by warranty or replacement policy;

· costs arising from failure to return the bike as required.

Unless otherwise agreed, any buyout payment shall be made directly by the Employer to TENWAYS.
Any internal cost allocation between the Employer and the Employee is outside TENWAYS’ responsibility.

 

G. Warranty, Replacement and Insurance

1. Warranty

TENWAYS provides its standard warranty applicable to purchased bikes for manufacturing defects and general repairs.

2. Theft or Total Loss

If a leased bike is stolen or becomes unusable:

· TENWAYS will provide a replacement bike of a similar model and condition, subject to availability, at no additional charge, which will be specified in Appendix 1 Theft & Loss Policy.

· The employee is encouraged to obtain third-party insurance (recommended but not mandatory).

3. Damage, Theft and Incident Reporting

The Employee shall comply with all reporting requirements and timelines set out in Appendix 1.

In particular, the Employee shall:

· report any theft, loss, damage or incident within the required timeframe;

· provide accurate and complete information regarding the circumstances; and

· provide any supporting documentation reasonably required, including police reports (if applicable), photographs or other evidence.

4. Repeated Loss

If the replacement bike is also stolen or becomes unusable:

· an early termination + buyout is triggered;

· the Employer must pay the remaining lease payments and buyout price to Tenways, and the Lease Contract will end;

· any internal cost allocation between Employer and employee is outside TENWAYS’ responsibility.

If a new bike is desired, a new lease agreement must be entered into.

If the Employee fails to comply with the theft prevention requirements set out in this Policy, Tenways reserves the right to reject a replacement request.

In such case, any resulting costs, including replacement, early termination or buyout costs, shall be borne by the Employer, and may be recovered by the Employer from the Employee in accordance with applicable law.

 

H. Roadside Assistance

Roadside assistance services are currently not included under this scheme. TENWAYS does not provide roadside assistance in connection with the leased bicycle, unless expressly agreed otherwise in writing.

TENWAYS reserves the right, at its sole discretion, to introduce roadside assistance services in the future, whether directly or through third-party providers. Any such services, if offered, shall be subject to separate terms and conditions.

 

I. Maintenance and Repairs

Maintenance and repair services for leased bikes are handled in the same manner as for purchased TENWAYS bikes, including:

· access to authorised service partners;

· standard maintenance schedules; and

· warranty-covered repairs.

Consumables and wear-and-tear items are subject to TENWAYS’ standard policies (also refer to Appendix 3).

 

J. Customer Service and Contact

Customer support for leased bikes is provided through TENWAYS’ standard customer service channels, identical to those available for purchased bikes.

Employees should contact TENWAYS using the official support channels published on the TENWAYS website.

 

K. Lease Duration and Termination

1. Lease Term

The lease duration is 12 or 24 months, as agreed at the time of order.

2. Early Termination

Any early termination fees shall be payable by the Employer to TENWAYS. Any internal cost allocation between the Employer and the employee is outside TENWAYS’ responsibility.

Early termination may occur as follows:

The applicable buyout price is determined based on fair market value at the time of buyout.  Early termination via buy-out replaces any early termination fee.

3. No Transfer Options

· Lease agreements are concluded between TENWAYS and the Employer.

· Unless otherwise agreed, a lease agreement can NOT be:

a) Transferred to another employee

b) Transferred to another employer

4. End-of-Term Options

Approximately one month before the end of the lease term, the Employer and/or employee will receive a non-binding buyout offer.

If the offer to buy out the bike is not accepted, the bike must be returned to Tenways. Thus:

· TENWAYS must be informed;

· return instructions will be provided.

If no notice is given and/or the bike is not returned, the lease will automatically be renewed on a monthly basis at the original lease price.

5. Return Policy

If a lease bicycle is to be returned, whether due to an alleged defect or early termination of the lease, the Employer must inform Tenways of this intent through either the platform or via email at the support email (leasing_support@tenways.com)

Where the lease is terminated prior to the agreed lease term and the bicycle has been used, the applicable early termination fee must be paid in full before the bicycle is returned, unless TENWAYS agrees otherwise in writing.

Returned bicycles must be in reasonable condition, taking into account normal wear and tear.

If a returned bicycle is not in reasonable condition, the Employer may be charged for the reasonable costs of repair, refurbishment or loss in value, as determined in accordance with TENWAYS’ standard assessment criteria.

 

L. Final Notes

This Policy is intended to provide transparency on bike usage and operational arrangements.
In the event of any inconsistency, the Framework Agreement between TENWAYS and the Employer prevails.

 

Appendix 1 – Damage & Theft Conditions

1. General Coverage

1.1 Tenways provides repair and service support for leased bicycles consistent with the Standard Warranty Policy set out in Appendix 3.

1.2 Coverage applies only where:

a) the issue falls within the Standard Warranty Policy; and

b) the Employee complies with the obligations set out in this Appendix.

1.3 Theft and total loss are not covered under the Standard Warranty Policy but are handled under the replacement bicycle mechanism described in Section 4.

 

2. Replacement Bike Eligibility and Theft Conditions

2.1 The Employee must:

· use at least one ART2-certified (or higher) chain or foldable lock to secure the bicycle to a fixed object. Use of a ring lock alone does not satisfy this requirement;

· retain two physical keys for the primary lock;

· store the bicycle securely at home/work;

· file a police report immediately after discovering the theft;

· report any theft to Tenways within 48 hours via email.

2.2 For a theft claim to be accepted, the following must be provided:

· original police report;

· both keys of the primary lock (unless keys were stolen through burglary with evidence);

· evidence that an ART2-certified (or higher) chain or foldable lock was used (photos or statements if required);

· a completed Tenways theft report form.

2.3 If approved, Tenways will:

· provide a replacement e-bike of similar model and condition (refer to section 4)

3. Damage Conditions

The damage coverage under this Appendix is aligned with Tenways’ Standard Warranty Policy attached as Appendix [3].

The attached version constitutes the legally binding warranty scope applicable at the time of execution of this Agreement.

For informational purposes, the latest version of the Standard Warranty Policy is available on Tenways’ official website at:

Updates published on the website shall not expand Tenways’ contractual obligations unless expressly agreed in writing.

4. Replacement Bicycle

The first time the bicycle is stolen or declared total loss:

· Tenways will provide a replacement bicycle at no additional cost; and

· Tenways may encourage the Employee to insure the bicycle through a third party (Tenways may recommend an appropriate third party)

If the replacement bicycle which was provided at no additional cost is similarly stolen or declared total loss:

· An early termination + buyout will trigger. The Employer must pay the remaining lease payments and buyout price on behalf of the Employee, and the Lease Contract will end.

· The Employer may establish a new Lease Contract on behalf of the Employee.

Replacement models may differ slightly depending on availability but will be of similar category and quality.

Tenways reserves the right to refuse a replacement bicycle if deemed appropriate, e.g. where the Employee repeatedly breaches the theft or damage obligations.

 

5. Exclusions

Tenways does not cover:

· loss of accessories not included in the Lease Contract;

· cosmetic damage not affecting functionality;

· theft without proof of ART2-certified (or higher) chain or foldable lock(s) and key(s)

· theft from an unlocked space unless evidence of forced entry is provided;

· damage from intentional acts or gross negligence.

 

Appendix 2 – Buy-Out Terms

1. Buy-Out at End of Lease

· At the end of the 12- or 24-month lease term, the Employee may buy the bicycle.

· One month prior to the end of the lease term, the Employee will receive an offer to buy out the bicycle at a price reflecting fair market value.

· Payment must be completed before the last day of the lease term.

· Upon full payment, the lease is terminated and ownership of the bicycle transfers to the Employee.

For all payment obligations including buy-out arising under this Agreement and any Lease Contract, the Employer remains the sole contractual obligor. Any payments made directly by Employees to Tenways shall not release the Employer from its obligations unless and until such payments are received by Tenways.

2. Early Termination via Buy-Out

The lease contract may be terminated before the planned end date by paying the remaining monthly lease payments + buyout price. The buyout price will reflect the bicycle’s fair market value at that time. Early termination through buy-out replaces any early termination fees described in Section K.

Once payment is received, the Lease Contract ends and Ownership of the bicycle transfers to the Employee.

3. Failure to Return

Upon end of the lease term, if the bicycle is not returned on time and no buyout is completed, monthly lease charges continue until the bicycle is:  

· returned in acceptable condition, or

· purchased by the Employee.

Tenways may charge additional costs if components or accessories are missing upon return.

 

Appendix 3 – Standard Warranty Policy 

This Appendix incorporates the TENWAYS Standard Warranty Policy applicable to bicycles supplied under the leasing program.

This Appendix constitutes the legally binding warranty scope under the Agreement.

The Warranty described herein reflects TENWAYS’ standard product warranty and does not constitute insurance coverage or comprehensive damage protection.

Any descriptions published on TENWAYS’ website, marketing materials, or customer communications are for informational purposes only and shall not expand TENWAYS’ contractual obligations beyond this Appendix.

Standard Warranty Policy

Tenways Technovation Europe B.V. provides a standard warranty (‘Warranty”) on all e-bikes (“E-bikes”), power banks and other accessories (“Products” or “Product”) purchased directly from its official online store or from authorized dealers, within the European Union (“EU”), the European Economic Area (“EEA”), and Switzerland. For customers located in the United Kingdom, the Warranty is provided by Tenways Sport UK Limited. Tenways Technovation Europe B.V. and Tenways Sport UK Limited are referred to collectively in this policy as “Tenways”, unless the context requires distinguishing between them. The Warranty is provided in addition to, and does not affect, any statutory rights that consumers may have under applicable law concerning the non-conformity of goods.

 

1. Warranty Coverage

1.1 The Scope of the Warranty

Tenways provides Warranty against defects in materials and workmanship under normal use of the Products that are purchased in the European Union, the European Economic Area, Switzerland and the United Kingdom, and for the period of time as defined in Article 2 (“Product Warranty Period”). Unless otherwise provided under this policy, the Warranty applies to all non-consumable and non-wearable components of the Product, including but not limited to the frame, motor, controller, torque sensor, battery. Certain consumables and wearable components may also be covered as listed under “Warranty Periods by Component” in Article 2, subject to the terms specified.

1.2 Consumer’s Responsibility 

The consumer shall demonstrate reasonable care and use, and follow preventive maintenance, storage, and lubrication schedules as required by use, climate and other pertinent factors. Tenways may reject any warranty claims that are the result of poor product maintenance or misuse by the user.

1.3 The Geographical Area

The Warranty applies exclusively within the EU, EEA, Switzerland and the United Kingdom, with the exception of Malta, Cyprus and EU Outermost Regions where Tenways does not operate warranty service infrastructure. This clause does not affect any statutory rights that consumers may have under applicable national law.

 

2. Warranty Periods by Component

The warranty period commences either on the date of purchase as stated on the original purchase invoice and remains in effect for the duration specified for each component listed below. “Product Warranty Period”:

Note: Repair or replacement of any product or part under this warranty does not reset or extend the original warranty period.

 

3. Warranty Exclusions

3.1 General Exclusions

The Warranty does not cover:

· Consumables, including but not limited to inner tubes, brake pads, and tires.

· Wear-and-tear components, such as grips and chains.

· Damage caused by misuse or abuse, including but not limited to:

Commercial use

Stunt riding

Improper storage

Water damage

· Damage caused by unauthorized actions, such as:

Use of third-party or non-approved components

Incorrect assembly

Unauthorized software modifications

· Damage due to external factors, including but not limited to:

Accidents

Theft

Exposure to extreme environmental conditions

Power surges

3.2 Battery-Specific Exclusions

The Warranty for batteries excludes the following:

· Normal capacity degradation due to wear and tear. For the purposes of this warranty, a reduction in battery capacity to sixty percent (60%) or less of its original capacity after five hundred (500) full charge cycles or two (2) years from the date of delivery (whichever occurs first) shall be considered normal and not a defect.

· Damage from the use of non-approved charging equipment, including chargers and power sources not provided or authorized by Tenways.

· Damage caused by exposure to extreme temperatures, such as operation below 0°C or above 30°C, or storage outside the range of -20°C to +45°C.

· Damage due to improper storage, including prolonged storage while fully charged, extremely low state of charge, or failure to recharge the battery for extended periods. If the battery is left unused or uncharged for a long time, it may enter deep sleep or protection mode or suffer irreversible capacity loss due to self-discharge. These are normal consequences of improper storage and are not considered defects covered by this Warranty. We recommend strictly following the charging and storage guidelines in the user manual to preserve battery health.

3.3 Proof of Original Purchase and Second-Handed Bikes

Tenways does not provide any additional warranty in the case of second handed products. Warranty for second-handed Products will only apply with proof of original purchase of the Product from Tenways or through an authorised dealer. In the case of second-handed bikes, the period for Warranty that Tenways provides commences on the date of purchase of the Product to the original purchaser and shall end a year after, and under no circumstances it cannot exceed the periods defined in the Article2.

 

4. Repair, Replacement or Return

4.1 Exclusive Remedy

If a defect is found and covered under this warranty, Tenways will, at its sole discretion:

a) repair the defective part/product,

b) replace it with one of equal or greater value and functionality within a reasonable period of time upon receiving the claim, or 

c) offer a return and refund option (see 4(f) for conditions).

A warranty claim honoured by Tenways does not automatically mean that Tenways also accepts liability for any loss or damage sustained. Tenways is not liable for indirect or consequential damages; loss of use; transport delays; economic or pure financial losses.

4.2 Condition of Replacement Parts 

Replacement parts may be new, refurbished, or reconditioned and will be functionally equivalent to the original. Refurbished batteries will retain at least 80% of their original capacity.

4.3 Determination Criteria 

Tenways’ decision to repair or replace will be based on:

· Nature and severity of the defect

· Availability of suitable parts

· Age and mileage of the product

· Repair feasibility

· Safety considerations

4.4 No Extension of Warranty

The warranty period for any repaired or replaced item remains tied to the original purchase date and will not be extended.

4.5 Ownership of Replaced Parts 

All replaced parts or products become the property of Tenways. Tenways reserves the right to refurbish, reuse, or dispose of them at its discretion.

4.6 Return

If Tenways determines that neither repair nor replacement is feasible or effective, Tenways may, at its sole discretion, offer a return of the product. In such cases, the customer will be eligible for a refund not exceeding the original purchase price, less any applicable depreciation, taxes, fees, or shipping costs.

4.7 Accessories or parts purchased by customer

The Warranty and any refund or return remedy apply only to the Product itself. Any accessories or additional parts purchased separately by the customer that were not originally included with the Product (including but not limited aftermarket add-ons or upgrades) are not covered. The return or refund of the Product does not entitle the customer to a return or refund of such separately purchased accessories. Tenways is not responsible for reimbursing such additional purchases.

 

5. Out-of-Warranty Service

For defects not covered under the Warranty or arising after the Warranty has expired, Tenways may offer, at its discretion, repair or replacement services for a fee. These services are subject to availability and technical feasibility.

 

6. Warranty Claim Process

6.1 Initiating a Claim

To initiate a claim, the consumer must contact Tenways Customer Service and provide:

· Proof of purchase.

· A detailed description of the issue.

· Supporting photos or videos, if available.  Important: For your safety, discontinue use of the product until the issue is resolved. Tenways is not liable for injuries or damages or losses resulting from continued use after a claim has been filed.

6.2 Resolution Process

Depending on the issue, Tenways may:

a) Guide you through self-repair for minor issues.

b) Refer you to an official Tenways service center.

c) Arrange for return of the product to Tenways for inspection and repair.

6.3 Prior Authorization Required

Do not attempt any repairs without prior authorization from Tenways. Unauthorized repairs will void the warranty, and Tenways will not reimburse third-party repair costs undertaken without such authorization.

 

Appendix 4 – Employee Privacy Notice

A. Who we are 
Tenways (the “Company”) processes certain personal data of employees participating in the bike lease programme. Tenways acts as an independent data controller in relation to such processing.

B. Categories of personal data
We may process the following categories of personal data:
a. name and contact details (e.g. email address, phone number);
b. delivery address and order information;
c. employment-related information (e.g. eligibility status as confirmed by the Employer);
d. information relating to delivery, maintenance, repair, and incident handling (including damage or theft reports).

C. How we collect your data
We collect personal data directly from you (e.g. when you submit order details via email) and from your Employer (e.g. confirmation of eligibility).

D. Purposes of processing
Your personal data is processed for the following purposes:
a. administration of the bike lease programme;
b. order processing, delivery and return of bicycles;
c. maintenance, repair and incident handling;
d. communication in relation to the above.

E. Legal basis
